Healthcare giant CVS Health announced on November 4, 2026, that it will reorganize into two separate publicly traded companies. Managed Healthcare Executive and STAT News both reported that the business will divide into a health solutions entity retaining the name CVS Health and a second entity named CVS Pharmacy. The company announced the change during its morning earnings call following strong financial results. [1][2]

According to STAT News and Managed Healthcare Executive, the remaining CVS Health unit will operate the Aetna health insurance business, the CVS Caremark pharmacy benefit manager, and the specialty pharmacy operations. STAT News added that this entity will also manage primary care and home visit services for older adults. [1][2]

The corporate restructuring unravels years of deal-making that combined retail drugstores with health insurance services. STAT News reported that the decision comes amid federal and state regulatory scrutiny regarding vertical integration in the healthcare industry. Managed Healthcare Executive reported that critics and competitors are questioning how separate the two entities will actually be, given planned commercial agreements between them. [1][2]

The American multinational healthcare company is the second largest healthcare business in the world behind UnitedHealth Group. In addition to operating its health insurance provider Aetna, the firm manages CVS Caremark and the CVS Pharmacy retail chain, which was originally founded as Consumer Value Stores in Lowell, Massachusetts.
